The
undersigned prospective Purchaser/s hereby acknowledge that they have been
introduced to business opportunities and/or properties listed below by Broker,
Sunbelt
Business Brokers of Northwest Florida, and agree to keep all information
confidential that is given to them by Broker or the Seller/s or their agents on
any business opportunities/ properties made known to the undersigned by Broker.
The following opportunities/
properties are covered by this agreement and the undersigned shall be subject to
legal sanctions and damages should said agreement be breached by them, their
agents or consultants or anyone else, to whom information has been divulged
which results in damage to the below listed opportunity / property.
Other business opportunities will be added to, and become a part of, this
agreement upon being divulged to the prospective Purchaser/s named below.
The undersigned acknowledge that they have been advised that the Broker
is an agent of the Seller/s in this transaction unless both Purchaser/s
and Seller/s have consented in writing at the request of the Broker that the
Broker shall act as a transaction agent or the Purchaser/s have retained the
Broker as a Buyer’s Broker in which case the Seller shall be notified of such.
All contracts and negotiations will pass through the Broker.
The undersigned agree that in the event that they should purchase, lease,
or come into possession of all, part or stock therein of any business, real
property or business opportunity presented them by the Broker during the listing
term or within one year from the date below that they will protect the Broker
for the agreed upon and/or acceptable fee at the discretion of the Broker, which
will be payable by the Seller, or by the Buyer according to their Buyer’s
Broker agreement. The undersigned understand and agree that if they interfere in
any way with the Broker collecting an acceptable fee at the discretion of the
Broker, unless otherwise agreed by Broker, from the Seller/s or as a Buyer’s
Broker that they shall be personally liable for payment of said fee and any
legal expenses or other costs necessary for Broker to pursue said fee should the
Broker prevail in court. It is agreed, except in the case of interference or
attempt to circumvent Broker, that if the undersigned make a purchase
through the Broker they are not liable for any fee unless they
have closed with the Seller knowing the Seller has failed to compensate the
Broker or they have failed to compensate the Broker under the terms of a
Buyer’s Broker agreement.
This is the entire agreement between the parties hereto and the
undersigned warrant that they have the authority to enter into this agreement
for themselves or any other entity or fiduciary they may represent.
